This AMENDMENT NO. 1 AND CONSENT AND LIMITED WAIVER, dated as of April 27, 2023 (this “Amendment”), to the Existing Credit Agreement referred to below, is entered into by and among The Cleveland Electric Illuminating Company (“CEI”), Ohio Edison Company (“OE”) and The Toledo Edison Company (“TE”, and together with CEI and OE, the “Borrowers”), each of the Lenders party hereto, JPMorgan Chase Bank, N.A., as Administrative Agent for the Lenders, and each of the Fronting Banks party hereto.
