This Agreement (the “Agreement”) is made as of the 4th day of December, 2007 (the “Effective Date”), by and among SpaceDev, Inc., a Delaware corporation (the “Company”), and Loeb Partners Corporation (the “Purchaser”), as set forth on the Schedule of Purchasers (the “Schedule of Purchasers”) set forth on Exhibit A.

This Stockholder Agreement (the “Agreement”) is made as of December 4, 2007 by and among SpaceDev, Inc., a Delaware corporation (the “Company”) and Loeb Partners Corporation (the “Stockholder”). Capitalized terms which are not otherwise defined shall have the same meaning as in the Purchase Agreement (as defined below).
