This Agreement (the “Agreement”) is made as of the 12th day of December, 2007 (the “Effective Date”), by and among SpaceDev, Inc., a Delaware corporation (the “Company”), and each of those entities, severally and not jointly, set forth on the Schedule of Purchasers (the “Schedule of Purchasers”) attached as Exhibit A hereto (which entities are hereinafter collectively referred to herein as “Purchasers” and each individually as a “Purchaser”).

This Amendment (the “Amendment”) to the Stockholder Agreement dated September 14, 2007 (the “Agreement”) is made as of December 12, 2007 by and among SpaceDev, Inc., a Delaware corporation (the “Company”) and the stockholders listed on Exhibit A to the Agreement (the “Stockholders”). Capitalized terms which are not otherwise defined shall have the same meaning as in the Agreement.
