SECOND SUPPLEMENTAL INDENTURE dated as of May 14, 2007 (this “Second Supplemental Indenture”) by and among FF-TSY HOLDING COMPANY II, LLC, a Delaware limited liability company (the “Company”), as issuer, FF-TSY HOLDING COMPANY II, INC., a Delaware corporation, (the “Co-Issuer”), GENERAL ELECTRIC CAPITAL CORPORATION, a Delaware corporation (“GECC”), as guarantor, and WELLS FARGO BANK, NATIONAL ASSOCIATION, as trustee (the “Trustee”).
