THIS SATELLITE TRANSPONDER SERVICE AGREEMENT (the “Agreement”) by and between EchoStar Holding Corporation (“EHC”), a Nevada corporation with a place of business at 90 Inverness Circle East, Englewood, Colorado 80112 and EchoStar Satellite L.L.C. (“Customer”), a Colorado limited liability company with a place of business at 9601 South Meridian Blvd., Englewood, Colorado 80112 is made effective as of the [___] day of December, 2007. Defined terms used in this Agreement shall have the meanings specified below.

This Broadcast Services Agreement (“Broadcast Agreement”) and the EHC Service Order Form attached hereto and incorporated herein (the “Service Order”) is binding and made effective as of the “Effective Date” (as defined in the Service Order), by and between EchoStar Holding Corporation, a Nevada Corporation, (“EHC”) and EchoStar Satellite L.L.C., a Colorado limited liability company, (“Customer”). Collectively the Broadcast Agreement and the Service Order shall be referred to as the “Agreement.” EHC and Customer shall each be referred to herein as a “Party” and collectively as the “Parties.”

(“ETLLC”), having a principal place of business at 90 Inverness Circle East, Englewood CO, 80112 and EchoSphere L.L.C. (“Licensee”), having a principal place of business at 9601 S. Meridian Blvd., Englewood CO 80112.
