This Amended and Restated Limited Liability Company Agreement (as amended, modified, supplemented and/or restated from time to time, this “Agreement”) of Discovery Communications Holding, LLC, a Delaware limited liability company (the “Company”), is entered into as of the 14th day of May, 2007, by and among Advance/Newhouse Programming Partnership, a New York general partnership (“ANPP”), LMC Discovery, Inc., a Colorado corporation (“LMCD”), and John S. Hendricks (“Hendricks”).
