THIS TERM LOAN AGREEMENT (this “Agreement”) dated as of February 21, 2008 by and among UDR, INC., a Maryland corporation (the “Borrower”), each of WACHOVIA CAPITAL MARKETS, LLC and J.P. MORGAN SECURITIES INC., as Joint Lead Arrangers (each a “Joint Lead Arranger”) and as Joint Bookrunners (the “Joint Bookrunners”), WACHOVIA BANK, NATIONAL ASSOCIATION, as Agent, JPMORGAN CHASE BANK, N.A., as Syndication Agent (the “Syndication Agent”), each of PNC BANK, NATIONAL ASSOCIATION, REGIONS BANK, SUNTRUST BANK and U.S. BANK NATIONAL ASSOCIATION, as Documentation Agent (each a “Documentation Agent”), and each of the financial institutions initially a signatory hereto together with their assignees pursuant to Section 12.5.
