WHEREAS Danny Kellum (“Employee”) and Pioneer Natural Resources USA, Inc. ("Pioneer" or the "Company") (collectively, the "Parties") desire to end the employment relationship between them and to amicably resolve all existing or potential issues related to the termination of employment and any other matter existing as of the time that Employee signs this Agreement, and to enter into this Separation Agreement and Release ("Agreement").
