THIS CONSULTING SERVICES AGREEMENT ("Agreement"), dated as of August 5, 2005 (the "Effective Date"), is between Park City Group, Inc. a Nevada corporation having its principal place of business at PO Box 5000, Park City Utah ("PCG"), and Cannon Equipment Company, having a place of business at 15100 Business Parkway, Rosemount, MN 55068 ("Cannon").
