This AGREEMENT (the “Agreement”) by and between Carrizo Oil & Gas, Inc., a Texas corporation (the “Company”), and Gerald A. Morton (the “Executive”), to be effective as of the 5th day of June, 2009 (the “Agreement Effective Date”).
