This Amended and Restated Credit Agreement is entered into as of September 15, 2004, by and among RC2 Brands, Inc., a Delaware corporation ("RC2 Brands"), RC2 South, Inc., a North Carolina corporation ("RC2S"), Learning Curve International, Inc., a Delaware corporation ("LCI"), Racing Champions Worldwide Limited, a corporation organized under the laws of the United Kingdom ("RCWL"), The First Years Inc., a Massachusetts corporation ("TFY"; RC2 Brands, RC2S, LCI, RCWL and TFY being referred to collectively as the "Borrowers" and individually as a "Borrower"), RC2 Corporation, a Delaware corporation, as a Guarantor (the "Company"), the Subsidiaries of the Company from time to time party to this Agreement, as Guarantors, the several financial institutions from time to time party to this Agreement, as Lenders, and Harris Trust and Savings Bank, as Administrative Agent as provided herein.
