THIS TERM LOAN AGREEMENT (this “Agreement”) dated as of March 27, 2015 by and among PIEDMONT OPERATING PARTNERSHIP, LP, a limited partnership formed under the laws of the State of Delaware (the “Borrower”), PIEDMONT OFFICE REALTY TRUST, INC., a corporation formed under the laws of the State of Maryland (the “Parent”), J.P. MORGAN SECURITIES LLC, U.S. BANK NATIONAL ASSOCIATION and SUNTRUST ROBINSON HUMPHREY, INC., as Co-Lead Arrangers and Book Managers (each, a “Co-Lead Arranger” and “Book Manager”), JPMORGAN CHASE BANK, N.A., as Agent, and U.S. BANK NATIONAL ASSOCIATION, as Syndication Agent (the “Syndication Agent”), and each of the financial institutions initially a signatory hereto together with their assignees pursuant to Section 12.5(b).
