NIMSIC, the duly appointed Trustee for the Chapter 11 bankrupt estate of Mineral Ridge Resources, Inc., a Nevada corporation ("Seller"), and Golden Phoenix Minerals, Inc., a Nevada corporation ("Purchaser").
