THIS LOAN AGREEMENT (this “Agreement”) dated as of December 2, 2105, by and among (i) EQUITY ONE, INC., a corporation formed under the laws of the State of Maryland (the “Borrower”), (ii) each of the financial institutions initially a signatory hereto together with their successors and assignees under Section 13.6 (the “Lenders”), (iii) PNC BANK, NATIONAL ASSOCIATION, as administrative agent (the “Administrative Agent”), (iv) WELLS FARGO BANK, NATIONAL ASSOCIATION and U.S. BANK NATIONAL ASSOCIATION (“US Bank”)as syndication agents (the “Syndication Agents”), (v) PNC CAPITAL MARKETS LLC, a Delaware limited liability company, WELLS FARGO SECURITIES, LLC and U.S. Bank as joint lead arrangers and joint book runners (in such capacities, the “Lead Arrangers”) and (vi) TD BANK, N.A., as documentation agent (the “Documentation Agent”).
