This confidential and Binding Term Sheet (“Term Sheet”) is effective as of September 30TH, 2015 and sets forth the principal terms and conditions of a Transaction and Commercialization Agreement by and between Transgenomic, Inc. (“TBIO”) and ADSTEC Corporation (“ADSTEC”) for the purchase of certain assets and liabilities of TBIO.

This ASSET PURCHASE AGREEMENT (this “Agreement”) is entered into on September 8, 2015, by and between TRANSGENOMIC, INC., a Delaware corporation (“Seller”), and EDGE BIOSYSTEMS, INC., a Maryland corporation (“Buyer”). Seller and Buyer may be referred to herein as a “Party” and collectively, as the “Parties.” Except as otherwise provided herein, capitalized terms used herein have the meanings set forth in Article VII.

This LIMITED WAIVER AND SEVENTH AMENDMENT TO LOAN AND SECURITY AGREEMENT (this “Amendment”), dated as of September 4, 2015 (the “Effective Date”), is entered into by and among THIRD SECURITY SENIOR STAFF 2008 LLC, as administrative agent (the “Agent”), and a lender, the other lenders party hereto (collectively, the “Lenders”), and TRANSGENOMIC, INC., a Delaware corporation (the “Borrower”).
