This AMENDMENT, dated as of April 12, 2002 (this “Amendment”), is made to that certain Shareholder Protection Rights Agreement, dated as of April 20, 1998 (the “Rights Agreement”), by and between PSS World Medical, Inc., a Florida corporation (the “Company”), and Continental Stock Transfer & Trust Company, as Rights Agent (the “Former Rights Agent”).
