Unless otherwise defined herein, each term used in this Global Performance-Vested Restricted Stock Unit Award Agreement, including the general terms and conditions for all non-U.S. Participants and the additional terms and conditions for certain countries, all as set forth in the appendix attached hereto (the “Appendix” and, together with the Global Performance-Vested Restricted Stock Unit Award Agreement, the “Award Agreement”) and defined in the Amkor Technology, Inc. Second Amended and Restated 2007 Equity Incentive Plan (the “Plan”) will have the same meaning as is given to such term in the Plan. The Award (as defined herein) is subject to clawback if the Company is subsequently required to restate its financial statements resulting in the financial results being reduced such that the Award (or any portion thereof) would not have been paid, if the Company determines, in its sole discretion, that the Participant engaged in intentional misconduct or fraud that resulted in such restat
