THIS PURCHASE AGREEMENT (this "Agreement") is entered into as of January 22, 2003 between The Mills Corporation, a Delaware corporation (the "Company"), and RREEF America L.L.C., a Delaware limited liability company (the "Advisor"), on behalf of Scudder RREEF Real Estate Fund, Inc., a Maryland corporation and a registered closed-end management investment company (the "Purchaser").
