THIS EMPLOYMENT AGREEMENT by and between IMS HEALTH, INC., a Delaware corporation (the "Company"), and David M. Thomas ("Executive") shall become effective as of November 14, 2000 (the "Effective Date"). The amendment and restatement of this Employment Agreement (the "Agreement") shall become effective as of December 3, 2002.
