THIS EMPLOYMENT AGREEMENT is made on January 28, 2003, and is effective as of July 1, 2002, between EARTHLINK INC., a Delaware corporation, and CHARLES G. BETTY (referred to herein as "You") and constitutes an amendment and restatement of that certain Employment Agreement between the Company and You dated April 1, 1998.
