This Omnibus Nonqualified Stock Option Agreement (the "Agreement") is entered into effective «Effective Date» by and between ADC Telecommunications, Inc., a Minnesota corporation, (the "Company"), and the above-identified Optionee pursuant to the Company's Global Stock Incentive Plan (the "Plan"). By electing to participate in the Company's 2003 Stock Option Exchange Program, Optionee has consented to and agreed to be bound by all terms and conditions of this Agreement and Exhibits A and B hereto. This Agreement together with Exhibits A and B to this Agreement contain the terms and conditions for the following individual option grants (each, an "Option") that have been made by the Company pursuant to Optionee's decision to participate in the Company's 2003 Stock Option Exchange Program:
