THIS AGREEMENT (the "Agreement") is entered into effective as of this 22nd day of May, 2003 (the "Effective Date"), by and between NaPro BioTherapeutics, Inc., a Delaware corporation (the "Company"), and James McChesney, Ph.D. ("Executive"). Certain capitalized terms used in this Agreement have the meaning set forth in Paragraph 17 of this Agreement.
