("Assignor"), a Delaware corporation and a direct wholly-owned subsidiary of Business Objects S.A., a société anonyme organized under the laws of the Republic of France ("Parent"), and Business Objects Americas, Inc. ("Assignee"), a Delaware corporation and a direct wholly-owned subsidiary of Parent.
