Cascades Inc., a corporation organized under the laws of the Province of Quebec (the "Company"), proposes to issue and sell its 71/4% Senior Notes due 2013 (the "Notes") to certain purchasers (the "Initial Purchasers"), upon the terms set forth in a Purchase Agreement, dated as of June 30, 2003 (the "Purchase Agreement"), between the Company, the subsidiary guarantors signatory thereto and the Initial Purchasers listed on Schedule I hereto, relating to the initial placement of the Notes (the "Initial Placement"). The Notes will be guaranteed (the "Guarantees" and, together with the Notes, the "Securities") on an unsecured senior basis by each of the Company's direct and indirect Canadian and U.S. restricted subsidiaries set forth on the signature page hereto (the "Guarantors").
