THIS STOCK PURCHASE AGREEMENT ("Agreement") is made and entered into as of June 2, 2003, by and between GERON CORPORATION, a Delaware corporation having its principal place of business at 230 Constitution Drive, Menlo Park, California 94025 ("Geron"), and TRANSGENOMIC, INC., a Delaware corporation having its principal place of business at 12325 Emmet Street, Omaha, Nebraska 68164 ("Transgenomic").
