K-Sea Transportation Partners L.P., a Delaware limited partnership (the “Partnership”), proposes to sell 3,500,000 common units (the “Firm Units”), each representing a limited partner interest in the Partnership (the “Common Units”). In addition, the Partnership proposes to grant to the Underwriters named in Schedule 1 hereto (the “Underwriters”) an option to purchase up to an additional 525,000 Common Units on the terms and for the purposes set forth in Section 2 (the “Option Units”).
