This Agreement is made pursuant to the Purchase Agreement, dated August 13, 2003, by and among the Company and the Initial Purchasers (the "Purchase Agreement"), which provides for, among other things, the sale by the Company to the Initial Purchasers of $300,000,000 aggregate principal amount of the Company's 4.80% Senior Notes due 2008, Series A (the "2008 Notes"), and $250,000,000 aggregate principal amount of the Company's 6.05% Senior Notes due 2013, Series A (the "2013 Notes" and, together with the 2008 Notes and any Additional Senior Notes (as defined below), Series A, issued in a transaction without registration under the 1933 Act (as defined below), the "Securities").
