This SECOND AMENDED AND RESTATED INVESTOR AGREEMENT ("Agreement") is made as of this 6th day of January, 2004 by and among FIBERSTARS, INC., a California corporation (the "Company"), ADVANCED LIGHTING TECHNOLOGIES, INC., an Ohio corporation ("ADLT"), ADLT CLASS 7 LIQUIDATING TRUST, u/a/d January, 2004 (the "Trust"), and UNISON FIBER OPTIC LIGHTING SYSTEMS, LLC., a Delaware limited liability company and a wholly-owned subsidiary of ADLT ("Unison").
