UnitedGlobalCom, Inc., Delaware corporation (the "Company"), is distributing 0.28 rights (each a "Right"), for each share of its Class A Common Stock, Class B Common Stock and Class C Common Stock (collectively, the "Common Stock") to the respective holders of record thereof at the close of business on January 21, 2004 (the "Record Date"), to subscribe for and purchase (the "Subscription Offer") shares of the Company's Class A Common Stock, Class B Common Stock and Class C Common Stock, respectively (the "Additional Common Stock"), at a subscription price of $6.00 per share (the "Subscription Price"), upon the terms and conditions set forth in the Prospectus (defined below).
