The Issuing Bank made available a bonding facility to the Company pursuant to a bonding facility letter (the "Bonding Facility Letter") dated 10 May 2002 from the Issuing Bank, Barclays Bank PLC and, by accession, JPMorgan Chase Bank to the Company on the basis that 100 per cent cash collateral would be deposited by the Company with the Issuing Bank as security for any bonds issued thereunder by the Issuing Bank on behalf of the Company pursuant to the terms of a security over cash agreement dated 10 May 2002 between the Company and the Issuing Bank (the "Original Security Over Cash Agreement").
