Stratus Services Group, Inc., a Delaware corporation (the “Company”), hereby confirms its agreement (the “Agreement”) with the several underwriters named in Schedule I hereto (the “Underwriters”), for whom you have been duly authorized to act as representative (in such capacity, the “Representative”), as set forth below. If you are the only Underwriter, all references herein to the Representative shall be deemed to be references to you. Capitalized terms used in this Agreement without definition have the meanings specified in the Prospectus as defined in Section 2(a) below.

This Escrow Agreement is entered into as of May , 2004, and is between JP Morgan Chase Bank, 270 Park Avenue, New York, New York 10017-2070 (the “Escrow Agent”), Essex & York, Inc., 40 Wall Street, 33rd Floor, New York, New York 10005 (the “Underwriter”) and Stratus Services, Inc. (“Stratus”), for the benefit of investors in Stratus’s public offering of certain securities (the “Investors”). Stratus, the Underwriter and the Investors are herein referred to as the “Interested Parties.”

This ESCROW AGREEMENT is made as of this day of May, 2004, by and among Stratus Services Group, Inc., a Delaware corporation (the “Issuer”) with offices located at 500 Craig Road, Suite 201, Manalapan, New Jersey 07726, Essex & York, Inc., with offices at 40 Wall Street, 33rd Floor, New York, New York 10005 (the “Underwriter”) and American Stock Transfer & Trust Company, a New York corporation, with offices located at 59 Maiden Lane, Plaza Level, New York, New York 10038, as Escrow Agent hereunder (the “Escrow Agent”).
