THIS ENERGY MARKETING SUPPORT AGREEMENT together with all exhibits and any written supplements hereto) (the "Agreement") is made and entered into as of this day of , 2003 (the "Effective Date"), by and between TXU Portfolio Management Company LP, a Texas Limited partnership ("TXUPM"), and Gexa Corporation, D/B/A Gexa Energy Corporation, a Texas Corporation ("Gexa").
