THE IMMUNE RESPONSE CORPORATION (the "Company"), pursuant to its 2003 Stock Plan as adopted by the Board of Directors of the Company effective February 25, 2003 (the "Plan"), grants to Optionholder the right to purchase the number of shares of the Company's Common Stock set forth in the Notice of Grant of Stock Options ("Grant Notice") delivered with this document to Optionholder, on the terms and conditions set forth below and in the Grant Notice and the Plan (such right is hereinafter referred to as the "Option"). This document and the Grant Notice together comprise the option agreement for the Option (this "Option Agreement").
