This Employment Agreement (“Agreement”) is made and entered into as of June 18, 2004 (the “Effective Date”) by and between AML Communications, Inc., a Delaware corporation (“Company”) and Dr. Marina Bujatti (the “Executive”), based on the following facts:
MERGER AGREEMENT by and among AML Communications, Inc., a Delaware corporation, and AML Holdings, LLC a California limited liability company on the one hand; and Microwave Power, Inc., a California corporation on the other hand. This Agreement contemplates a transaction in which the Buyer will acquire all of the outstanding capital stock of the Target for stock through a forward subsidiary merger of the Target into the Transitory Subsidiary.
