THIS EMPLOYMENT AGREEMENT (this "Agreement") dated as of March, 29th 2004, is made by and between CommunitySouth Bancshares, Inc., a South Carolina corporation (the "Company"), which will be the holding company for CommunitySouth Bank (Proposed), a proposed South Carolina state bank (the "Bank"), and David A. Miller, an individual resident of South Carolina (the "Executive"). Each of the Organizers of the Bank shall also be a party to this Agreement until the date the Bank opens.

The Warrants evidenced by this certificate have been issued or sold in reliance on exemptions from registration under the Securities Act of 1933 and applicable state securities laws and may not be sold or transferred except in a transaction which is exempt under such Act and state laws or pursuant to an effective registration statement under such Act and state laws.
