This AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF INFINITY INFUSION CARE, LTD. is effective as of June 28, 2003, made between Infinity Infusion, LLC, a Delaware limited liability company ("LLC") as limited partner, and Infinity Infusion II, LLC, a Delaware limited liability company ("II LLC") as general partner (collectively LLC and II LLC referred to herein as the parties or Partners).
