This REGISTRATION RIGHTS AGREEMENT dated July 14, 2004 (the "Agreement") is entered into by and among Forest Oil Corporation, a New York corporation (the "Company") and J.P. Morgan Securities Inc. ("JPMorgan"), Banc of America Securities LLC, Harris Nesbitt Corp., TD Securities (USA) Inc., ABN AMRO Incorporated, Lehman Brothers Inc. and UBS Securities LLC (the "Initial Purchasers").
