No provision of this Agreement may be amended, modified, waived, or discharged unless such amendment, waiver, modification or discharge is agreed to in writing by the Party or a duly authorized agent of the Party. No waiver by a Party of any breach by the other Party of, or of any compliance by the other Party with, any condition or provision of this Agreement shall be deemed a waiver of similar or dissimilar conditions or provisions of the same type or at any prior or subsequent time. This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof, including but not limited to settling all disputes and litigation. Any rule of construction to the effect that any ambiguities are to be resolved or construed against the drafting party are not be applied to the interpretation of this Agreement. No agreements or representations, oral or written, expressed or implied, other than those set forth herein have been made by either Party with respect to the
