AMENDMENT NO. 1, dated as of October , 2004 (the "Amendment"), to the Deposit Agreement dated as of June 20, 1988 as Amended and Restated as of October 24, 1990, June 27, 1997 and September 4, 1997 and as Further Amended and Restated as of September 23, 2004 (the "Deposit Agreement"), among Signet Group plc, incorporated under the laws of England and Wales (the "Company"), Deutsche Bank Trust Company Americas, as depositary (the "Depositary"), and all holders from time to time of American depositary receipts ("Receipts") issued thereunder.
