THIS CONSULTING & SERVICES AGREEMENT ("Agreement") is made and entered into as of this 1st day of January, 2005, by and between Imagenetix, Inc. at 16935 W. Bernardo Drive, No. 101, San Diego, CA., 92127 ("IAGX" or the "Company") and Business Partners Operations, LLC at 14 Red Tail Drive, Highlands Ranch, CO 80126 ("Consultant").

This Spokesperson Agreement, ("Agreement") is effective as of January 1, 2005 between Imagenetix, Inc. a California Corporation ("Imagenetix"), whose principal place of business is 16935 West Bernardo Drive, Suite 101, San Diego, California 92127 and Tony Gwynn and Alicia Gwynn ("Spokespersons").

AGREEMENT made this 29th day of June, 2004, by and between IMAGENETIX, a Nevada Corporation located at 16935 West Bernardo Drive, Suite 101, San Diego, California 92127 (hereinafter "IMAGENETIX") and PROPRIETARY NUTRITIONALS, INC., a Canadian corporation, having its place of business at 3536 Indian Trail, Brantford, Ontario, N3T 5M1, Canada (hereinafter "PROPRIETARY NUTRITIONALS" or "PNI").

This EXCLUSIVE PURCHASE AND SUPPLY AGREEMENT (hereinafter "Agreement"), is made and entered into as of this 14th day of August, 2002, by and between Imagenetix, Inc., a California corporation with its principal place of business located at 16935 West Bernardo Drive, Suite 101, San Diego, California 92127 (hereinafter "IMAGENETIX" or "Seller"); and Clincyte, Inc./Cymbiotics, a California corporation with its principal place of business at PO BOX 910047, California 92191 (hereinafter "CLINCYTE" or "Buyer").
