Chou (the "Holder"), is entitled, subject to the terms and conditions set forth below, to purchase from WorldGate Communications, Inc., a Delaware corporation (the "Company"), 62,500 validly issued, fully paid and nonassessable shares (the "Warrant Shares") of Common Stock of the Company, par value $0.01 per share (the "Common Stock"), subject to adjustment as provided herein, at a purchase price equal to $2.88 per share (the "Exercise Price").
