THIRD AMENDMENT, dated as of June 23, 2005, 2005 (this "Third Amendment") to the Rights Agreement (the "Rights Agreement"), dated as of October 5, 1996 and amended on February 21, 1997 and April 26, 1997, between Harrah's Entertainment, Inc., a Delaware corporation (the "Company"), and The Bank of New York, a New York corporation, as Rights Agent (the "Rights Agent"). Unless the context indicates to the contrary, capitalized terms used and not defined herein shall have the meanings ascribed to them in the Rights Agreement.

THIS SECOND SUPPLEMENTAL INDENTURE, dated as of June 13, 2005 (this "Supplemental Indenture"), is among Caesars Entertainment, Inc., a Delaware corporation ("Caesars"), Harrah's Entertainment, Inc., a Delaware corporation ("Harrah's"), Harrah's Operating Company, Inc., a Delaware corporation and the direct, wholly owned subsidiary of Harrah's ("Harrah's Operating"), and U.S. Bank National Association, as trustee (the "Trustee").
