THIS SPECIAL TERMINATION AGREEMENT ("Agreement") is made as of the 25th day of May, 2001, between Advanced Neuromodulation Systems, Inc., a Texas corporation (the "Company"), and James P. Calhoun, (the "Executive") (together, referred to as the "parties").

This Second Amendment to Rights Agreement, dated as of October 14, 2005 (this "Second Amendment"), is entered into by and between Advanced Neuromodulation Systems, Inc., a Texas corporation (the "Company"), and Computershare Investor Services LLC ("Computershare" or "Rights Agent").

WHEREAS, Company and ANS desire to hold mutual discussions and anticipate the exchange of valuable information with respect to a potential business relationship or transaction;
