In connection with a potential transaction ("Proposed Transaction") between Allergan, Inc., a Delaware corporation ("Interested Party"), and Inamed Corporation, a Delaware corporation ("Company"), and in order to allow Interested Party and Company to evaluate the Proposed Transaction, the parties wish to protect and preserve the confidential and/or proprietary nature of certain information and materials of Interested Party and Company that may be disclosed or made available to the other party or its Representatives (as defined below) in connection with certain discussions, negotiations or dealings between the parties relating to the Proposed Transaction (each party ("Party") when disclosing information hereunder being the "Disclosing Party" and when receiving information hereunder being the "Receiving Party").
