THIS STOCK PURCHASE AGREEMENT (the “Agreement”), is made as of March 15, 2006, by and among JLK Direct Distribution Inc., a Pennsylvania corporation (the “Seller”), Kennametal Inc., a Pennsylvania corporation (“Kennametal”), MSC Industrial Direct Co., Inc., a New York corporation (“MSC”) and MSC Acquisition Corp. VI, a New York corporation (the “Buyer”).
