SUPPLEMENTAL INDENTURE (this "Supplemental Indenture"), dated as of April 28, 2006, among LABC Productions, LLC, a California limited liability company, DIRECTV Programming Holdings I, Inc. and DIRECTV Programming Holdings II, Inc., each a Delaware corporation (the "Additional Guarantors"), DIRECTV Holdings LLC, a Delaware limited liability company ("DIRECTV Holdings" or an "Issuer"), DIRECTV Financing Co., Inc., a Delaware corporation ("DIRECTV Finance" or an "Issuer" and together with DIRECTV Holdings, the "Issuers"), the Guarantors (as defined in the Indenture referred to below) and The Bank of New York Trust Company, N.A., as trustee under the Indenture (the "Trustee").
