This Stock Purchase and Sale Agreement (as it may from time to time be amended, this "Agreement"), dated as of August 1, 2007, is made and entered into by and among Flat Ridge Investments LLC (the "Seller) and the buyers identified on Schedule B hereto (each, a "Buyer" and collectively, the "Buyers"). This Stock Purchase Agreement (this "Agreement"), dated as of July 18, 2007, is made and entered into by and between Prospect Acquisition Corp., a Delaware corporation (the "Company"), Flat Ridge Investments LLC, a Delaware limited liability company, LLM Structured Equity Fund L.P., a Delaware limited partnership and LLM Investors L.P., a Delaware limited partnership (each, a "Buyer" and, together, the "Buyers"). This letter will confirm our agreement that, commencing on the effective date ("Effective Date") of the registration statement for the initial public offering ("IPO") of the securities of Prospect Acquisition Corp.
