Applix, Inc., a Massachusetts corporation (the “Company”), and Milt Alpern (the “Employee”) entered into a Retention Agreement (the “Agreement”) dated January 31, 2007 (the “Effective Date”). The Agreement is hereby amended and restated, effective September 4, 2007, so as to comply with the applicable provisions of Section 409A of the Internal Revenue Code of 1986, as amended, and the final Treasury regulations and guidance issued thereunder (“Section 409A”). The Agreement is not otherwise being revised and the rights and obligations of the Company and the Employee remain in full force and effect as set forth below.

This Agreement, dated July 30, 2007 (the “Effective Date”), is made between Applix, Inc., a Massachusetts corporation (“Applix”), and Cognos Incorporated, a Canadian corporation (“Cognos”).
