MANAGEMENT SERVICES AGREEMENT (as amended, revised, supplemented or otherwise modified from time to time, this “Agreement”), dated as of _________, 2007, by and between Atlas Industries Holdings LLC, a Delaware limited liability company (the “Company”), and Atlas Industries Management LLC, a Delaware limited liability company (the “Manager”).
