This Amended and Restated Grant Agreement ("Grant Agreement"), entered into on December 14, 2007, but effective as of May 31, 2006 (the "Effective Date"), evidences the grant of an option pursuant to the provisions of the 2006 Stock Option Plan (the "Plan") of Indalex Holdings Finance, Inc.
